Before opening a business in Bonaire, check whether you need a business establishment permit, which additional approvals your activities require and whether the proposed premises can lawfully be used for them. Company registration is one part of the process. It should not be treated as confirmation that the business can start trading.
Bonaire’s government explains that an establishment permit, or vestigingsvergunning, is generally needed to start, expand or change a business. Its current application guidance identifies requirements concerning the applicant’s knowledge, financial resources, Chamber registration and business location.
The practical task is to coordinate these requirements before rent, construction and staffing costs begin. Our Bonaire legal services support businesses planning that process and dealing with permit problems.
Identify what the business will actually do
Write an operational description before filling in forms. “Tourism business” is too broad if the proposal includes accommodation, food service, alcohol sales, transport and excursions. The same applies to a shop that will also import goods, store stock and make deliveries.
List every activity, the proposed location, opening hours, staffing and any planned building work. Explain whether customers attend the premises and whether the operation creates noise, waste or other effects requiring assessment.
The Bonaire Chamber’s permits guidance connects the business’s registered activities to the permits it may need. Its examples include environmental, hospitality and street-trading permissions. Use the actual business model to build a permit list rather than assuming that another operator’s list is complete for your project.
Separate the different approvals
A useful project checklist distinguishes four questions:
- The business: is the correct legal entity registered, and does it have the required establishment permission?
- The location: are the proposed use, alterations and physical arrangements permitted?
- The activity: are there additional requirements for the services or products offered?
- The people: can the owners, managers and employees lawfully reside and work as proposed?
These questions may involve different authorities and documents. A positive answer to one does not resolve the others. Our governmental matters practice can help identify which decisions are needed and how the applications relate to each other.
Check the premises before accepting an unconditional lease
For many founders, the expensive mistake is committing to premises before checking whether the intended use is possible. An attractive address may require alterations, approvals or conditions that change the commercial calculation.
Ask for the existing permits and property information relevant to the proposed operation. Compare the permitted use with what you intend to do. Do not assume that a previous tenant’s approval covers a different company, activity or layout.
Discuss lease provisions dealing with permission to apply, the landlord’s cooperation, proposed works, the start of rent and what happens if essential approvals cannot be obtained. Our contract law team can review those provisions before you sign.
Example: opening a restaurant in Kralendijk
Imagine an entrepreneur who has agreed a restaurant lease and ordered equipment, expecting Chamber registration to be the final step. The opening plan also includes alcohol sales and a kitchen refit. Each element should have been checked against the required approvals and premises conditions.
The island government’s restaurant-opening guidance describes establishment and hospitality permissions and states that the required permits must be in place before opening. It also refers to safety, hygiene and review by relevant authorities.
For this illustrative project, the founder should put the lease, fit-out, permit sequence and recruitment plan on one timeline. The equipment delivery date is a commercial commitment, not evidence that the restaurant may open. A contingency budget helps the founder assess whether the project remains workable if an application needs clarification or the premises need changes.
Prepare the establishment-permit file coherently
Use the current form for the entity and application type. Before submission, compare the legal name, activities, address, directors and authorized signatory across the application and supporting records.
A practical preparation file contains the relevant registration extract, identity and authority documents, business description and evidence supporting experience and financing. Confirm which documents must be recent, translated or certified rather than ordering everything from an old checklist.
If a business already exists, identify whether the proposal changes its location, activities, management or structure. Buying equipment or taking over a lease does not by itself establish that the buyer can use the seller’s approvals.
Put staffing on its own compliance track
Ownership of a business should not be treated as automatic permission for the owner or overseas employees to work on the island. The applicable admission and work requirements depend on the person’s circumstances and nationality.
For employers seeking a work permit for a foreign employee, RCN’s work-permit guidance describes local recruitment steps, documentation and the relationship with residence status. Check the applicable rules and exceptions before promising a start date.
Our employment law practice can help align employment agreements and planned start dates with the permissions relevant to the position.
Questions to resolve before announcing an opening
Does a Curaçao permit cover Bonaire?
Do not assume that it does. Bonaire is part of the Caribbean Netherlands, with BES legislation and island rules. Curaçao is a separate jurisdiction. Assess the Bonaire activity and location specifically.
How long will all approvals take?
Treat the project as several decisions, each with its own requirements. Confirm current processing guidance and whether the file is complete. A published target for one permit is not a guarantee for the whole opening process.
What if a permit is refused or has difficult conditions?
Keep the decision and record when it was received. Seek prompt administrative law advice on the available response and applicable deadline before assuming that informal discussions preserve your rights.
