Pension transition challenge dismissed

A pension fund represented by Daniel Zahavi successfully defended a challenge to a pension scheme transition. The claims were dismissed at first instance and that outcome was upheld on appeal. Employees and a representative association had challenged the introduction of an average-salary arrangement in place of a final-salary arrangement. Zahavi represented the fund at both stages; the employer had separate representation.

Accrued rights and the power to amend

The court examined the fund’s articles, the pension regulations and their relationship to the employment contracts. A central issue was the meaning of the protection for rights already acquired. In the context of those documents, the court distinguished pension entitlements already built up from an expectation that the existing method of future accrual would never change. The replacement rules preserved the accrued proportional entitlements up to the transition. The court also found that information sessions had given employees an opportunity to express their views, as the fund’s articles required.

The dismissal was affirmed

The appellate court rejected the challenge and affirmed the earlier dismissal of the claims. It also rejected the additional arguments advanced against the transition, including the asserted entitlement to indefinite continuation of the earlier arrangement. Assessed appeal costs were awarded to the pension fund and the separately represented employer. The outcome rested on the particular amendment provisions, preservation of accrued entitlements and procedural record considered by the court.

The fund obtained a first-instance award of NAf 1,800 in assessed legal fees. Its appeal costs were assessed at NAf 414.85 in disbursements and NAf 5,100 in legal fees. The employer’s separate costs awards are not included in those figures. The decisions establish the fund’s entitlement to these costs, rather than confirming that payment was received.

Relevance for pension institutions and counsel

The matter demonstrates Daniel Zahavi’s experience defending a pension institution in litigation over scheme changes. For pension administrators, employers and international referring counsel, it illustrates the value of examining the complete governing framework alongside the transition arrangements and consultation evidence. This historical judgment is not a general approval of unilateral pension changes. Whether a proposed or disputed change is permissible today requires a fresh assessment of the relevant rules, contracts, accrued rights and facts.
